AlignTogether’s Payment Terms

The following terms (these “Payment Terms”) govern payments you make or receive through www.aligntogether.live (the “Site” or the “Platform”), operated by AlignTogether Solutions Private Limited (Registered address: G-2/320-A Gulmohar Colony, Bhopal 462039, Madhya Pradesh, India).

Please read these Payment Terms carefully before making or receiving payments through the Site. By making or receiving payments through the Site, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Payment Terms. These Terms are supplemental to AlignTogether’s Terms of Service.

Key Terms

AlignTogether Balance is the aggregated amount of your Revenue as a Seller and/or returned payments from canceled orders as a Buyer.

AlignTogether Current Credit Value represents the total sum of converted credits available as a monetary value, calculated using a specific factor that may undergo changes every three months.

Credits: Credits are points granted to the Referrer for referring the Referee to AlignTogether.live and when the Referee takes specific actions, such as making a purchase or generating earnings through their services.

Payment Services Provider(s) are service providers that provide payment services to Buyers and Sellers in connection with the AlignTogether platform, including with respect to collection of funds from Buyers in connection with purchases, remittance and withdrawal of funds to Sellers, currency exchange services in connection with payments and withdrawals in local currencies, and the holding of funds in connection with AlignTogether Balances.

Referral Program: AlignTogether's referral program is a well-structured initiative aimed at motivating individuals to share information about our product and services available at AlignTogether.live.

Referee: The Referee is an individual who has been suggested or referred to AlignTogether.live by another person.

Referrer: The Referrer is a person who advocates for AlignTogether.live and recommends it to others.

Revenue is the money that Sellers earn from completed orders and can either withdraw or use to purchase on AlignTogether, subject to these Terms.

Purchasing

General

Buyers pay AlignTogether to create an order from a Seller’s Service page. AlignTogether partners with Payment Services Providers for purposes of collecting all payments from Buyers, transferring such payments from Buyers to Sellers, and holding funds in connection with AlignTogether Balances. All payments services in connection with the collection of funds on the AlignTogether platform are performed by AlignTogether’s Payment Services Providers.

Purchasing

General

  • Buyers pay AlignTogether to create an order from a Seller’s Service page. AlignTogether partners with Payment Services Providers for purposes of collecting all payments from Buyers, transferring such payments from Buyers to Sellers, and holding funds in connection with AlignTogether Balances. All payments services in connection with the collection of funds on the AlignTogether platform are performed by AlignTogether’s Payment Services Providers.
  • AlignTogether serves as Seller’s limited authorized payment collection agent solely for the purpose of accepting payments (via its Payment Services Provider, if applicable) from Buyer, and remitting those payments to Seller. Buyer’s payment obligation to Seller will be satisfied upon receipt of payment by AlignTogether (or its Payment Services Provider, as applicable), and AlignTogether (via its Payment Service Provider, as applicable) is responsible for remitting the funds to the Seller in the manner described in these Payment Terms. In the event that AlignTogether (via Payment Services Provider) does not remit any such amounts to Seller, the Seller will have recourse only against AlignTogether and not the Buyer directly.
  • Prices on the Service Card are shown in US Dollars. During checkout on the platform, prices are shown in Indian Rupee ₹ and the actual charged amount (in Indian Rupee ₹) will be clearly disclosed to you before you complete the payment. Prices in Indian Rupee ₹ currency are derived always from their original US Dollar $ price and, therefore, Indian Rupee ₹ currency prices may change daily in accordance with exchange rate fluctuations.
  • Your AlignTogether Balance is always displayed and valued in Indian Rupee ₹.
  • Service fees are added at the time of purchase where you can review and accept the total amount requested to pay. These fees cover administrative fees. As of December 2022, the service fees are 5% of the net payable amount. Net payable amount is obtained after deducting the available required Balance amount from the Listed Price amount.
  • Your existing AlignTogether Balance will be automatically applied to your next purchase.
  • You may not offer Sellers to pay, or make payment using any method other than through the AlignTogether.com site. In case you have been asked to use an alternative payment method, please report it immediately to hello@aligntogether.live.
  • You agree to receive invoices and/or payment receipts from AlignTogether in electronic form as PDF documents, by email or through the Site.
  • To protect against fraud, unauthorized transactions (such as money laundering), claims, or other liabilities, payment information in connection with withdrawals is collected by either AlignTogether or AlignTogether’s Payment Services Providers. Payment Services Providers may also collect such other information as necessary for the purpose of processing withdrawal payments. AlignTogether is not exposed to the payment information provided to Payment Services Providers, and this information is subject to the privacy policy applicable to the Payment Service Provider.   • By using any payment method and/or providing payment details for making purchases on AlignTogether, you represent and warrant that: (a) you are legally authorized to provide such information; (b) you are legally authorized or have permission to make payments using the payment method(s); (c) if you are an employee or agent of a company or person that owns the payment method, you are authorized by that company or person to use the payment method to make payments on AlignTogether; and (d) such actions do not violate any applicable law. Receiving Payments

General

  • Each service you sell and successfully complete, accredits your account with revenue equal to 80% of the purchase amount.
  • AlignTogether accredits Sellers once an order is completed. See the “Orders” section in the Terms of Service for a definition of a completed order.
  • If an order is canceled (for any reason), the respective amount paid will be returned to the Buyer’s AlignTogether Balance as per AlignTogether’s Refund & Cancellation Policy.
  • Sellers are responsible for paying any direct or indirect taxes, including any GST, VAT or income tax, which may apply to them depending on residency, location or otherwise, under provisions of their jurisdiction. Sellers represent and warrant that they comply, and will comply at all times, with their obligations under income tax provisions in their jurisdiction. The price shown on the service page is inclusive of all such taxes and charges that may apply to the Sellers.
  • Appointment as Limited Payment Collection Agent: Seller hereby appoints AlignTogether as Seller’s limited authorized payment collection agent solely for the purpose of accepting payments (via its Payment Services Provider, if applicable) from Buyer, and remitting those payments to Seller. Seller agrees that payment from Buyer to AlignTogether shall be considered the same as made directly to Seller. Buyer’s payment obligation to Seller will be satisfied upon receipt of payment by AlignTogether (or its Payment Services Provider, as applicable), and AlignTogether (via its Payment Services Provider, as applicable) is responsible for remitting the funds to the Seller in the manner described in these Payment Terms. In the event that AlignTogether (via Payment Services Provider) does not remit any such amounts to Seller, the Seller will have recourse only against AlignTogether and not the Buyer directly. Seller agrees that AlignTogether may describe or otherwise reflect the terms contained herein in any terms of service, receipts, disclosures, or notices including, but not limited to, receipts provided to Buyers that AlignTogether may deem necessary or prudent.
  • AlignTogether parent Services Providers for purposes of collecting payments from Buyers, transferring such payments from Buyers to Sellers, and holding funds in connection with AlignTogether Balances. All payments services in connection with the withdrawal of funds on the AlignTogether platform are either performed by AlignTogether directly or by AlignTogether’s Payment Services Providers.

Withdrawing Revenues

  • Users may have two withdrawal methods - either direct money transfer from AlignTogether or through Payment Service Providers. To withdraw your revenue, AlignTogether may ask for your bank account details so that they can facilitate direct money transfer or through Payment Service Providers.
  • All funds eligible for Withdrawal may be held on your behalf at an account with AlignTogether’s Payment Services Provider. All payment services, including withdrawal services, will be provided either directly by AlignTogether or by AlignTogether’s Payment Services Provider.
  • Your AlignTogether profile can be associated with only one account from each AlignTogether withdrawal method. A Payment Service Provider withdrawal account can be associated with only one AlignTogether profile.
  • Revenues are only made available for withdrawal from the Balances page following a safety clearance period of 14 days after the order is marked as complete. Top Rated Sellers are eligible to withdraw revenue following a safety clearance period of 7 days after the order is marked as complete.
  • For security concerns, AlignTogether may temporarily disable a Seller’s ability to withdraw revenue to prevent fraudulent or illicit activity. This may come as a result of security issues, improper behavior reported by other users, or associating multiple AlignTogether accounts to a single withdrawal provider.
  • Withdrawals can only be made in the amount available to you.
  • Withdrawal fees vary depending on the withdrawal method chosen.
  • Withdrawals are final and cannot be undone. We will not be able to reverse this process once it has begun.
  • Your AlignTogether Balance is always maintained in Indian Rupee ₹ value. In certain cases, Buyers may withdraw Balances in several different currencies. All currency exchange services in connection with such withdrawals are performed by AlignTogether’s Payment Services Providers.
  • Sellers will be able to withdraw their revenues from disabled accounts after a safety period of 90 days following full verification of ownership of the account in question, from the day of the last cleared payment received in their account and subject to AlignTogether's approval.

Taxes

  • AlignTogether may be required by applicable laws to charge users with indirect taxes (such as Sales Tax, VAT or GST) or to withhold taxes. Any amount AlignTogether will be required to collect will be in addition to the purchase amount and any other fees payable by the Buyer, and any amount AlignTogether will be required to withhold will be deducted from the Seller’s revenue, as required by applicable laws.
  • Indirect taxes are in addition to the price shown on the site, and in any event, any such taxes will always be displayed to the Buyer before payment.
  • Users are responsible for paying any direct or indirect taxes, including any GST, VAT, or income tax, which may apply to them depending on residency, location or otherwise, under provisions of their jurisdiction.
  • Further, in case of any tax, penalty or any other costs incurred by us due to non-compliance or non-communication or any other action or omission attributable to you in relation to the afore-mentioned aspects on GST, such implications including but not limited to taxes, interest and penalties, shall be immediately reimbursable by you to us.

How Referral Program works

Process involved:

  • Step 1: The Referrer registers on AlignTogether.live and obtains a unique referral link.
  • Step 2: The Referrer shares this unique link with potential Referees through various communication channels.
  • Step 3: When a Referee clicks on the referral link, they are redirected to AlignTogether.live's registration page. To qualify for referral benefits, the Referee must complete the registration process within the same browser session. If the Referee is already a registered user on AlignTogether.live, they won't be eligible for the referral rewards.
  • Step 4: Upon successful registration of the Referee on AlignTogether.live, the Referrer becomes entitled to receive credits as part of the referral program.

Earning and Converting Credits to Money:

  • Referrers are awarded credits, which are calculated based on a specific percentage of the transaction value (excluding service fees) in Indian Rupees for both purchases and earnings made by the Referees they referred.
  • The total accumulated credits are converted into monetary value using a specific factor.
  • Both the transaction value-to-credit percentage factor and the Credit-to-money conversion factor are subject to potential changes every three months.

Assuming:

  1. Transaction value-to-credit percentage factor = 1%
  2. Credit-to-money conversion factor = 2
  3. Currency conversion rate: 1 USD = INR 84.00
  • When the Referee purchases a service with a listed price of $100, the Referrer's account will receive 84 Credits (= 100 x 84 x 1%) after the completion of the entire service. These 84 Credits will hold a value of INR 168.00 (= 84 x 2).
  • In a different scenario, if the Referee secures orders worth $100 each from three buyers and earns $250, taking into account a partial cancellation from one of the three buyers, the Referrer's account will be credited with 210 Credits (= 250 x 84 x 1%) upon the successful completion of the entire service. These 210 Credits will hold a value of INR 420.00 (= 210 x 2).

Disputes and Cancellations

We encourage our Buyers and Sellers to read various policies to minimize any conflicts. If, for any reason, you find yourself in a conflict or encounter non-permitted usage on the site, users can contact AlignTogether's Customer Support department for assistance at hello@aligntogether.live.

Basics

  • Service booking cancellations can be performed on AlignTogether, when eligible, by the Cancel Service feature.
  • Filing a transaction dispute or reversing a payment through your payment provider or your bank is a violation of these Payment Terms. Doing so may get your account temporarily or permanently disabled. Note: Once you have filed a dispute with your payment provider, the funds will be ineligible for a refund due to our obligations towards the payment provider.
  • AlignTogether, through its Payment Services Provider, reserves the right to cancel orders or place funds on hold for any suspected fraudulent transactions made on the Site.
  • All transfer and assignment of intellectual property to the Buyer shall be subject to full payment and the delivery may not be used if payment is canceled for any reason.
  • Requesting to gain more services (or sessions) from Sellers beyond the agreed service requirements by using the “Contact Seller” button or any other means is not allowed.
  • If an order is canceled (for any reason), the appropriate funds as per the Refund & Cancellation policy will be refunded to the Buyer’s AlignTogether Balance.

Booking or Order Cancellations

  • Eligibility for requests to AlignTogether to cancel an order will be assessed by our Customer Support team based on a number of factors, including violations of our Terms of Service and/or our Community Standards, general misconduct, and improper usage of the AlignTogether delivery system. See below for Order specific eligibility.
  • Please be advised that services cannot be partially canceled and whenever Cancel Service feature is used by any Seller, all the remaining Sessions of the Service are considered cancelled and refund is initiated according to the Refund & Cancellation policy. AlignTogether reserves the right to make an entire Service refund to the buyer without paying anything to the Seller.
  • End of the last Session marks the completion of any Order. In rare circumstances where we find it appropriate, our Customer Support team may cancel a completed order even after 7 days have passed from its completion. In such cases, the amounts paid for the canceled order will be returned to the Buyer’s AlignTogether Balance and will be deducted from the Seller’s AlignTogether Balance or, if there are no sufficient amounts in the Seller’s AlignTogether Balance, from future revenues of such Seller.
  • Orders are not eligible to be canceled based on the quality of service/materials delivered by the Seller if the service was rendered as described in the Service Page. You may rate your experience with the Seller on the Order Page, including the overall level of service quality received.
    • Buyers can Cancel Service anytime citing valid reasons including following three:

    • Seller did not show up for the last session.
    • Service description did not match the last session.
    • Seller used offensive language during the last session.
    • If there is any other reason, other than the above mentioned, Buyers should mention it very well. Any non-permitted usage of AlignTogether encountered during an Order, after being reviewed by our Customer Support team, may result in the order being canceled. This includes, but not limited to; harassment, unlawful behavior, or other violations of AlignTogether’s Terms of Service.
  • AlignTogether Customer Support will cancel orders based on, but not limited to, the following reasons:
    • Users are abusive towards the other party through threats of low ratings or leveraging order materials (such as logins, personal information) against each other.
    • Users supplied or included copyright/trademark infringing materials as part of their requirements or the Seller’s delivery.
    • The user is no longer an active AlignTogether user due to Terms of Service violations or closure of their account.
    • Users who threaten to leave a damaging review to gain more services from the Seller not related to the agreed requirements.
    • Users who have been reported to use copyright/trademark infringing materials after verification and with proof.
    • Users who did not purchase commercial use rights and are reported to have used the materials commercially. Note: Terms of Commercial use are found on the Seller’s Service Page and cannot be retroactively included once the order is completed for over 2 days.

Refunds

  • AlignTogether does not automatically refund payments made for canceled orders back to your payment provider. Funds from order cancellations are returned to the Buyer's AlignTogether Balance and are available for future purchases on AlignTogether. Funds returned to your AlignTogether Balance from canceled orders will not include service fees paid.
  • Amount in Balances is always used first while purchasing any Service. Net payable amount is arrived after reducing Balance amount from the listed price. Service fees is always charged on a net payable amount. In case the net payable amount is zero, no service fees is charged.
  • The amount returned to your AlignTogether Balance due to any cancellation would be Indian Rupee ₹ as per the Refund & Cancellation policy.
  • Deposit refunds (i.e. refunds directly to your payment provider) can be performed by our Customer Support team, based on the Order’s original payment amount in Indian Rupee ₹ based on currency conversion at the time of placing the order. To prevent fraud and abuse, we limit the total amount of times users can request a payment provider refund, which is subject to review by our Customer Support team. Such refunds may be subject to an additional fee.

Chargebacks

AlignTogether reviews cases of payment provider chargebacks and disputes on behalf of Sellers. Although results vary per case due to each chargeback reason, we work hard on resolving disputes in the Seller’s favor. If the chargeback case allows, AlignTogether (or one of AlignTogether’s Payment Services Providers) will return parts or full revenue back to Sellers, otherwise the chargeback amount will be borne by the Seller.

General Terms

Modifications

  • AlignTogether may make changes to these Payment Terms from time to time. When these changes are made, AlignTogether will make a new copy of the terms available on this page.
  • You understand and agree that if you use AlignTogether after the date on which the Payment Terms have changed, AlignTogether will treat your use as acceptance of the updated Payment Terms.

Disclaimer of Warranties

YOUR USE OF THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE SITE, ITS CONTENT AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER ALIGNTOGETHER NOR ANY PERSON ASSOCIATED WITH ALIGNTOGETHER MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF THE SITE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation on Liability

IN NO EVENT WILL ALIGNTOGETHER, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE. IN ACCEPTING LIABILITY AS THE LIMITED AUTHORIZED PAYMENT COLLECTION AGENT OF SELLER, ALIGNTOGETHER AND ITS AFFILIATES ASSUME NO LIABILITY FOR ANY ACTS OR OMISSIONS OF SELLER.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. The term “Affiliate” referred to herein, is an entity that, directly or indirectly, controls, or is under the control of, or is under common control with AlignTogether, where control means having more than fifty percent (50%) voting stock or other ownership interest or the majority of voting rights of such entity.
